Terms of Service

Please read these terms carefully before using NowBoard. By creating an account or using the service, you agree to be bound by these terms. If you do not agree, do not use the service.
1. Parties and agreement
These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and Vindico ICS Ltd, trading as NowBoard ("NowBoard", "we", "us"), a company registered in England and Wales.
By signing up for a NowBoard account, you confirm that you are 18 or over and have authority to enter into this agreement on behalf of your organisation (if applicable).
2. The service
NowBoard provides a cloud-based digital signage platform ("Service") that enables customers to create, manage, and distribute content to connected display screens. The specific features available to you depend on your subscription plan.
We reserve the right to modify, update, or discontinue features of the Service at any time. Where changes are material, we will provide reasonable notice to active subscribers.
3. Subscription plans and pricing

All prices are exclusive of VAT, which will be added where applicable. Prices are subject to change. We will give you at least 30 days' notice of any price increase, which will take effect at your next renewal date.
4. Free trial
New accounts are eligible for a 14-day free trial. No payment method is required to start a trial. At the end of the trial period, your account will be downgraded unless you add a payment method and activate a paid subscription. We reserve the right to modify or discontinue the free trial offer at any time.
5. Billing and payment
Subscriptions are billed in advance, either monthly or annually depending on your chosen billing cycle. Payment is processed via Stripe. By providing payment details, you authorise us to charge your payment method for the subscription fees and any applicable taxes.
If payment fails, we will notify you and attempt to collect payment again. If payment remains outstanding after 7 days, your account may be suspended. If payment remains outstanding after 30 days, your account may be cancelled and your content deleted.
6. Cancellation and refunds
You may cancel your subscription at any time from within your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except where required by law.
Annual subscriptions cancelled within 14 days of payment (other than at renewal) may be eligible for a pro-rata refund at our discretion. Contact [email protected] to request this.
7. Acceptable use
You may use the Service for any lawful commercial or organisational purpose. You must not use the Service to:
- Display, distribute, or store content that is unlawful, defamatory, obscene, or infringes third-party intellectual property rights
- Transmit spam, malware, or any malicious code
- Attempt to gain unauthorised access to the Service, other accounts, or underlying infrastructure
- Resell or sublicence the Service without our prior written consent
- Use the Service in a way that could damage, disable, or impair its functionality or security
- Collect or harvest personal data about other users of the Service
We reserve the right to suspend or terminate accounts that breach these acceptable use provisions, with or without notice depending on the severity of the breach.
8. Your content
You retain all intellectual property rights in the content you upload to or create within NowBoard ("Customer Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit your Customer Content solely for the purpose of providing the Service to you.
You are responsible for ensuring that your Customer Content does not infringe third-party rights, breach applicable law, or violate these Terms. We do not proactively monitor Customer Content but reserve the right to remove content that we become aware is unlawful or in breach of these Terms.
9. Data and privacy
Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. Where you use NowBoard to process personal data on behalf of others (for example, displaying staff names or photos), you are responsible for ensuring appropriate legal basis and compliance with UK GDPR in that processing.
10. Availability and service levels
We aim to provide a reliable, high-availability service and target 99.5% uptime measured monthly, excluding scheduled maintenance. We do not guarantee uninterrupted access to the Service and shall not be liable for temporary outages caused by factors outside our reasonable control, including internet infrastructure failures, third-party service outages, or force majeure events.
Scheduled maintenance will be communicated with at least 24 hours' notice where possible and will be conducted during low-traffic hours.
11. Hardware and compatibility
NowBoard is a software-as-a-service platform. Hardware (screens, media players, mounting hardware) is not provided by NowBoard unless explicitly agreed in writing. We publish a list of compatible hardware on our website. We do not warrant that NowBoard will function with hardware not on our compatibility list.
Where NowBoard-compatible hardware is purchased through a third-party retailer on our recommendation, any warranty or returns claim is with the retailer or manufacturer, not NowBoard.
12. Intellectual property
All intellectual property rights in the NowBoard platform, including software, design, templates, and documentation, are owned by or licenced to Vindico ICS Ltd. Nothing in these Terms transfers any ownership of NowBoard's intellectual property to you.
Our trademarks and branding may not be used without our prior written consent.
13. Confidentiality
Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law or as necessary to provide or receive the Service. This obligation survives termination of these Terms.
14. Limitation of liability
To the maximum extent permitted by law:
- Our total liability to you in any 12-month period shall not exceed the total fees paid by you to NowBoard in that period
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if advised of the possibility of such damages
- We shall not be liable for any failure to provide the Service caused by circumstances outside our reasonable control
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Vindico ICS Ltd, its directors, employees, and contractors from and against any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your Customer Content; or (c) your breach of these Terms.
16. Termination
Either party may terminate these Terms by cancelling the subscription as described in section 6. We may terminate your account immediately if you materially breach these Terms, fail to pay fees after notice, become insolvent, or engage in conduct that we reasonably believe puts the Service or other customers at risk.
On termination, your access to the Service will cease. We will retain your data for 90 days post-cancellation to allow you to request an export, after which it will be permanently deleted.
17. Changes to these terms
We may update these Terms from time to time. We will give you at least 30 days' written notice of material changes. Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not accept the changes, you may cancel your subscription before the effective date.
18. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

19. General
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NowBoard regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
